Sponsor’s Declaration

Under the Hong Kong Stock Exchange (HKEX) Listing Rules, at the time of issue of a listing document, a sponsor is required to conduct reasonable due diligence inquiries in order to make a declaration to the HKEX covering, among other matters, the listing applicant’s compliance with the qualifications for listing, sufficiency of disclosure in the listing document, the establishment of adequate procedures and systems to ensure that the applicant complies with the relevant regulatory requirements, the appointment of experienced, qualified and competent directors, and certain matters in respect of experts and expert reports.
