background_size=&#8221;initial&#8221; background_position=&#8221;top_left&#8221; background_repeat=&#8221;repeat&#8221; hover_enabled=&#8221;0&#8243;]<p><strong>Direct Acquisitions<\/strong><\/p>\r\n<p>The <em>PRC Foreign Investment Law<\/em> and the associated regulations and department rules, which came into effect on 1 January 2020, brought significant changes to the foreign investment legal regime and had a significant impact on M&#038;As in China by foreign investors. <\/p>\r\n<p>Under the previous PRC laws, the acquisition of an equity interest in Chinese companies by foreign investors required a filing with the Ministry of Commerce (\u201cMOFCOM\u201d). Approval from MOFCOM was required if the foreign investment projects fell within the negative list. This filing requirement has been abolished under the <em>PRC Foreign Investment Law<\/em>. Under the new foreign investment regime, save for certain transactions which trigger antitrust review procedures, any acquisitions (direct or indirect) by foreign investors (regardless of whether the industry falls within the negative list or not) now only require an online report to be filed with MOFCOM through the local State Administration for Market Regulation\u2019s enterprise registration system.<\/p>\r\n<p>Pursuant to the <em>PRC M&#038;A Regulations<\/em> and the <em>Provisions of the State Council on the Standard for Declaration of Concentration of Business Operators<\/em>, foreign investors in an acquisition are required to submit the acquisition plan to MOFCOM for antitrust review if one of the following applies: <\/p>\r\n<p>The antitrust approval process for direct equity acquisitions is similar in principle to that for indirect equity acquisitions. The merger control thresholds are as follows:<\/p>\r\n<ol>\r\n<li>The total global revenue in the last fiscal year of all undertakings participating in the concentration is over RMB 10 billion, and the revenue in the last fiscal year in the PRC of each of at least two of the undertakings involved in the transaction is RMB 400 million; or<\/li>\r\n<li>The total revenue in the last fiscal year in the PRC of all undertakings participating in the concentration is over RMB 2 billion, as well as among which the business revenue of last fiscal year in the territory of PRC of each of at least two business operators are over RMB 400 million.<\/li>\r\n<\/ol>\r\n<p><strong>Offshore \/ Indirect Acquisitions<\/strong><\/p>\r\n<p>Before the implementation of the <em>PRC Foreign Investment Law<\/em>, PRC authorities generally had no jurisdiction over offshore acquisitions, except for antitrust review procedures. Under the new foreign investment regime, such offshore acquisitions of or increase of control over a PRC target via the offshore purchase of equity interests of the PRC target\u2019s foreign parent company require a change report by the PRC target if the offshore acquisition will lead to a change of the actual controller of the PRC target. <\/p>\r\n<p>\u201cActual control\u201d is defined as\uff1a <\/p>\r\n<ol>\r\n<li>Directly or indirectly holding more than 50% of the shares, equity, property shares, voting rights or other similar rights and interests of the enterprise; <\/li>\r\n<li>Directly or indirectly holding less than 50% of the shares, equity, property shares, voting rights or other similar rights and interests of the enterprise, however:\r\n<ul style=\"list-style:lower-alpha;margin-left:20px;margin-top:15px;\">\r\n<li>having the right to directly or indirectly appoint more than half of the members of the board of directors or similar decision-making bodies of the enterprise;<\/li>\r\n<li>having the ability to ensure that its nominees have more than half of the seats on the board of directors or similar decision-making bodies of the enterprise; or<\/li>\r\n<li>holding enough voting rights to have a significant impact on the resolutions of the board of shareholders, the shareholders assembly or the board of directors and other decision-making bodies.<\/li>\r\n<\/ul>\r\n<\/li>\r\n<li>Being able to determine the operation, finance, personnel or technology of the enterprise through contracts, trusts or other means.<\/li>\r\n<\/ol>\r\n<p><strong>Asset Acquisitions<\/strong><\/p>\r\n<p>If a foreign investor wishes to acquire assets in the PRC, rather than equity, it must first establish a foreign-invested enterprise (FIE) in the PRC. Under the new foreign investment regime, the foreign investor needs to submit to the local MOFCOM where the FIE is located an application providing (1) the basic information on the FIE, the foreign investor and its actual controller; and (2) information regarding the acquisition transaction. MOFCOM no longer examine the commercial arrangements of the FIE, such as the joint venture agreement, the share purchase agreement and the subscription agreement. This streamlined approach reduces the uncertainties that existed surrounding the commercial arrangements and the discretion that MOFCOM had in its examination of the commercial arrangements of the FIE.<\/p>[\/et_pb_text][et_pb_text admin_label=&#8221;SubM-sibling&#8221; Pursuant to the PRC M&A Regulations, the foreign purchaser in an offshore acquisition is required to submit the acquisition plan to the Ministry of Commerce (\"MOFCOM\") if one of the following applies:<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:list -->\r\n<ul><li>Any of the parties to the foreign acquisition has assets in China valued at not less than RMB3 billion;<\/li><li>Any of the parties to the acquisition had a turnover in the Chinese market during the current year of not less than RMB 1.5 billion;<\/li><li>Any of the parties to the foreign acquisition and its affiliates already control not less than 20% of the relevant Chinese market;<\/li><li>The foreign acquisition will cause the relevant Chinese market share of any of the parties to the foreign acquisition and its affiliates to reach 25%; or<\/li><li>The foreign acquisition will cause the number of foreign invested enterprises (\"FIEs\") in related industries in China in which any of the parties to the foreign acquisition has a direct or indirect equity interest to exceed 15%.<\/li><\/ul>\r\n<!-- \/wp:list -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>MOFCOM reviews applications and approves or rejects foreign acquisitions based on whether such acquisitions will result in an over-concentration in the domestic market, harm legitimate competition, and\/or damage consumers' interest.<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>The PRC antitrust provisions are broadly worded and do not provide clear guidance on the determination of the triggering events for review and as to qualifications or exemptions. There are also no detailed implementing rules available to clarify these crucial questions. At present, the anti-trust review for offshore acquisitions appears to be in form rather than in substance.<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:heading {\"level\":3} -->\r\n<h3>Direct Acquisitions<\/h3>\r\n<!-- \/wp:heading -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>Under current PRC law, transactions involving a transfer of the registered capital of an existing FIE or the conversion of a domestic state-owned enterprise (\"SOE\") into an FIE via a direct equity transfer would require approval and registration, similar to the situation where a new FIE is formed. MOFCOM and\/or its local counterparts have the power to examine and approve transactions involving foreign investments in domestic companies and FIEs, and would in most cases be the relevant approval authority for this purpose (unless otherwise specified by laws or administrative regulations, or where the target companies are in certain special industries). The State Administration for Industry and Commerce (\"SAIC\") and its local branches (\"AICs\") are responsible for the administration of the registration procedures once the proposed transaction has been approved by the appropriate approval authority.<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>The relevant application should be filed with the original approval authority of the target FIE. If the target is currently not an FIE, then the application should be lodged with the appropriate approval authority for the establishment of a new FIE with the appropriate amount of investment. In general, if the target is not an existing FIE, the parties are required to have the value of the equity appraised before transfer. Prices considerably lower than the appraisal result will not be permitted.<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>The antitrust approval process for direct equity acquisitions is similar in principle to that for indirect equity acquisitions. The merger control thresholds are as follows:<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:list {\"ordered\":true} -->\r\n<ol><li>The total global revenue in the last fiscal year of all undertakings participating in the concentration is over RMB 10 billion, and the revenue in the last fiscal year in the PRC of each of at least two of the undertakings involved in the transaction is RMB 400 million; or<\/li><li>The total revenue in the last fiscal year in the PRC of all undertakings participating in the concentration is over RMB 2 billion, as well as among which the business revenue of last fiscal year in the territory of PRC of each of at least two business operators are over RMB 400 million.<\/li><\/ol>\r\n<!-- \/wp:list -->\r\n\r\n<!-- wp:heading {\"level\":3} -->\r\n<h3>Asset Acquisitions<\/h3>\r\n<!-- \/wp:heading -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>If a foreign investor wishes to acquire assets in the PRC, rather than equity, it must first establish a commercial presence in the PRC. Therefore, the normal approvals for establishment of an FIE may be needed prior to proceeding with the asset acquisition.<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>Apart from any approvals for establishment of a new entity, acquisitions or transfers of certain assets will be subject to additional governmental approvals. For example:<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:list -->\r\n<ul><li>If the transferred assets involve certain tax-exempted equipment still under customs supervision and control, approval from the customs authorities for release of the supervision (normally involving retroactive payment of taxes and duties exempted or reduced) would be required.<\/li><li>If the transferred assets involve certain types of intellectual property rights such as patents and trademarks, or involve any technology or know-how subject to the PRC technology export administrative regime, separate approvals\/formalities may be required.<\/li><li>If the asset transfer involves certain special industries in which foreign participation is restricted, particular care should be taken. Investors should note that while the transfer of any assets may not require approval per se, the necessary licenses to operate in such sectors cannot be transferred; the purchasing FIE will still need to apply for its own license from the relevant governing authorities before it can make use of the purchased assets<\/li><li>In certain asset acquisitions, foreign exchange approval and examination may be required. Please refer to [hyperlink to Foreign Exchange Issues] for more details.<\/li><\/ul>\r\n<!-- \/wp:list -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>If any of the corporate constitutional documents or the principal company particulars of either party involved in the asset acquisition need to be amended as a result of the transaction, approvals from the relevant governmental authorities and registration of such amendments with the SAIC may be required.
