所有股权均涉及若干风险。在承包商关连的矿业项目中成为股东的该等承包商的地位,在某种程度上是独特的,其焦点不仅在于成功交付项目基础设施,而且在于该项目的矿山长期盈利性。
若承包商持有股权及债务组合,其有意确保该项目产生足够的现金流,以偿还该项目的债务。
持续风险可通过许多方法进行管理,包括但不限于,在认购阶段及股东之间的协议中添加保护性条款。最终,承包商可选择寻求策略性的撤资政策,以实现从该项目进行有序的风险管理退出。
在拟于香港上市的矿业项目中持有股权的承包商应知悉,根据《上市规则》第14A章,其合同可能被视为持续关连交易。该情形下,基础设施协议可能至少每三年须获上市公司股东再次批准。
