承让/照付不议协议
易周律师行就采矿承让合同的谈判及起草,包括中国国有企业与国际矿山公司之间的承让具有经验。
承让合同谈判一般而言是远远提前于矿山厂房及基础设施的施工进行的,故其在矿山公司能否取得将来融资方面发挥重要作用。取得承让合同亦可提高上市时的信誉,这可影响首次公开招股的股价。
适当起草的承让合同应:
- 描述协议的条款,及
- 分配生产商/销售商及购买商之间的风险
矿业公司须首先决定,其是否欲签署承让(实际是买/卖协议格式)或营销合同。承让与营销合同不同在于承让合同包括“必须购买”条款。
承让合同亦应包括有关风险的分配及产品占有和所有权变动的条款,例如,《国际贸易术语解释通则》提及的交付条款或独立谈判达成的条款是否适用、确定价格基准的方法、不可抗力事件、产品质量及延迟付款有关的条款。如所有的国际商务合同而言,矿业公司应考虑合同的管辖法律及仲裁条款。
