background_repeat=&#8221;repeat&#8221;]<p>\u9999\u6e2f\u8054\u4ea4\u6240\u89c4\u5219\u8bbe\u6cd5\u9632\u6b62\u4e0a\u5e02\u53d1\u884c\u4eba\u7684\u5173\u8fde\u4eba\u58eb\u5229\u7528\u5176\u804c\u4f4d\u53d6\u5f97\u5229\u76ca\u3002\u5173\u8fde\u4ea4\u6613\u53ef\u4ee5\u662f\u4e00\u6b21\u8fc7\u7684\u4ea4\u6613\uff08\u4e0a\u5e02\u53d1\u884c\u4eba\u9002\u7528\uff09\uff0c\u4e5f\u53ef\u4ee5\u662f\u6301\u7eed\u4ea4\u6613\uff08\u4e0a\u5e02\u53d1\u884c\u4eba\u53ca\u65b0\u7533\u8bf7\u4eba\u5747\u9002\u7528\uff09\u3002\u4e24\u79cd\u4ea4\u6613\u5404\u987b\u9075\u5b88\u4e0d\u540c\u7684\u89c4\u5219\u3002\u4e0a\u5e02\u53d1\u884c\u4eba\u5fc5\u987b\u5c31\u6240\u6709\u5173\u8fde\u4ea4\u6613\u4e0e\u6709\u5173\u4eba\u58eb\u8ba2\u7acb\u4e66\u9762\u534f\u8bae\u3002<\/p>\r\n<p>\u5173\u8fde\u4ea4\u6613\u987b\u9075\u5b88\u6c47\u62a5\u3001\u62ab\u9732\u53ca\u72ec\u7acb\u80a1\u4e1c\u6279\u51c6\u89c4\u5b9a\u3002\u82e5\u5e72\u60c5\u5f62\u4e0b\u4ea6\u6709\u5fc5\u8981\u8bbe\u7acb\u72ec\u7acb\u8463\u4e8b\u59d4\u5458\u4f1a\uff0c\u5e76\u59d4\u4efb\u72ec\u7acb\u8d22\u52a1\u987e\u95ee\uff0c\u4ee5\u5c31\u4ea4\u6613\u662f\u5426\u516c\u5e73\u53ca\u5408\u7406\u4ee5\u53ca\u662f\u5426\u4ece\u6574\u4f53\u4e0a\u7b26\u5408\u80a1\u4e1c\u6743\u76ca\u5411\u80a1\u4e1c\u63d0\u51fa\u5efa\u8bae\u3002\u9999\u6e2f\u8054\u4ea4\u6240\u89c4\u5219\u63d0\u4f9b\u4e00\u7cfb\u5217\u8c41\u514d\uff0c\u5305\u62ec\u82e5\u4ea4\u6613\u4f4e\u4e8e\u82e5\u5e72\u89c4\u6a21\u89c4\u5b9a\u7684\u60c5\u5f62\u3002\u6709\u5173\u5173\u8fde\u4ea4\u6613\u66f4\u6df1\u5ea6\u7684\u63cf\u8ff0\uff0c\u8bf7\u53c2\u7167\u6211\u4eec\u6709\u5173<a href=\"\/zh\/offtake-agreements\/offtakes-connected-transactions?id=239\"><span>\u5173\u8fde\u4ea4\u6613<\/a>\u7684\u6587\u7ae0\u3002<\/p>\r\n<p>\u4e0a\u5e02\u77ff\u4e1a\u516c\u53f8\uff08\u53ca\u6f5c\u5728\u4e0a\u5e02\u7533\u8bf7\u4eba\uff09\u4e0e\u5173\u8fde\u4eba\u58eb\u7b7e\u7f72\u627f\u8ba9\u5408\u540c\u5e76\u975e\u4e0d\u5e38\u89c1\u3002\u8be5\u7b49\u60c5\u5f62\u4e0b\u7684\u5173\u8fde\u4eba\u58eb\u901a\u5e38\u6709\u5bf9\u77ff\u4e1a\u516c\u53f8\u8fdb\u884c\u6218\u7565\u6295\u8d44\uff0c\u53ca\u4e3a\u77ff\u4e1a\u516c\u53f8\u4ea7\u54c1\u7684\u7ec8\u7aef\u7528\u6237\u3002\u6301\u6709\u77ff\u4e1a\u516c\u53f810%\u6216\u4ee5\u4e0a\u80a1\u4efd\u7684\u6295\u8d44\u8005\u5c06\u88ab\u89c6\u4e3a\u5173\u8fde\u4eba\u58eb\u3002<\/p>\r\n<p>\u77ff\u4e1a\u516c\u53f8\u5c31\u5173\u8fde\u4ea4\u6613\u6b63\u5e38\u60c5\u51b5\u4e0b\u6240\u9700\u7684\u6c47\u62a5\u3001\u62ab\u9732\u53ca\u72ec\u7acb\u80a1\u4e1c\u6279\u51c6\u89c4\u5b9a\uff0c\u53ef\u5411\u9999\u6e2f\u8054\u4ea4\u6240\u63d0\u51fa\u8c41\u514d\u7533\u8bf7\u3002\u9999\u6e2f\u8054\u4ea4\u6240\u5c06\u5ba1\u67e5\u6709\u5173\u4e0a\u9650\u53ca\u627f\u8ba9\u5408\u540c\u62df\u6301\u7eed\u7684\u671f\u95f4\uff0c\u7136\u540e\u51b3\u5b9a\u662f\u5426\u6388\u4e88\u8c41\u514d\u3002\u8c41\u514d\u6709\u53ef\u80fd\u4e0d\u6db5\u76d6\u8be5\u534f\u8bae\u7684\u6574\u4e2a\u671f\u95f4\uff08\u5c24\u5176\u662f\u77ff\u5c71\u627f\u8ba9\u671f\u95f4\uff09\uff0c\u800c\u5728\u82e5\u5e72\u9636\u6bb5\u5c06\u987b\u4f5c\u51fa\u8fdb\u4e00\u6b65\u62ab\u9732\u53ca\u72ec\u7acb\u80a1\u4e1c\u6279\u51c6\u3002<\/p>\r\n<h2>\u201c\u7167\u4ed8\u4e0d\u8bae\u201d\u6761\u6b3e\u7684\u53ef\u6267\u884c\u6027<\/h2>\r\n<p>\u627f\u8ba9\u5408\u540c\u7ecf\u5e38\u5305\u62ec\u201c\u7167\u4ed8\u4e0d\u8bae\u201d\u6761\u6b3e\u3002\u4e00\u822c\u800c\u8a00\uff0c\u7167\u4ed8\u4e0d\u8bae\u6761\u6b3e\u5c06\u89c4\u5b9a\uff0c\u82e5\u4e70\u65b9\u4e0d\u80fd\u8d2d\u4e70\u9884\u5148\u534f\u5b9a\u7684\u6700\u4f4e\u4ea7\u54c1\u6570\u91cf\uff0c\u5219\u4e70\u65b9\u4ecd\u987b\u5bf9\u9884\u5148\u534f\u5b9a\u7684\u6700\u4f4e\u4ea7\u54c1\u6570\u91cf\u8fdb\u884c\u4ed8\u6b3e\u3002\u67d0\u4e9b\u53f8\u6cd5\u7ba1\u8f96\u533a\u7684\u6cd5\u5f8b\u4e0d\u5141\u8bb8\u6267\u884c\u5bf9\u8fdd\u7ea6\u65b9\u65bd\u52a0\u60e9\u7f5a\u7684\u5408\u540c\u6761\u6b3e\u3002\u5728\u8fd9\u65b9\u9762\uff0c\u67d0\u4e2a\u7279\u5b9a\u6761\u6b3e\u662f\u5426\u6784\u6210\u7b97\u5b9a\u635f\u5bb3\u8d54\u507f\uff08\u901a\u5e38\u5141\u8bb8\uff09\u6216\u60e9\u7f5a\u6761\u6b3e\uff08\u67d0\u4e9b\u53f8\u6cd5\u7ba1\u8f96\u533a\u4e0d\u5141\u8bb8\uff09\uff0c\u987b\u4f5c\u51fa\u91cd\u8981\u533a\u5206\u3002\u51b3\u5b9a\u7167\u4ed8\u4e0d\u8bae\u6761\u6b3e\u662f\u5426\u6784\u6210\u60e9\u7f5a\u6761\u6b3e\u7684\u6709\u5173\u56e0\u7d20\u5305\u62ec\u4ee5\u4e0b\uff1a<\/p>\r\n<ul In certain cases it is also necessary to establish an independent board committee and appoint an independent financial adviser to advise the shareholders as to whether the transaction is fair and reasonable and in the interests of the shareholders as a whole. A number of exemptions are available, including where the transaction falls below certain size specifications. The connected persons in such instances are typically end users of the mineral company's products who have also made a strategic investment in the mineral company. An investor holding 10% or more of the mineral company's shares will be treated as a connected person.<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>A mineral company can apply to the Hong Kong Stock Exchange for a waiver from the reporting, disclosure and independent shareholders' approval requirements normally required in relation to connected transactions. The Hong Kong Stock Exchange will examine the relevant caps and the intended duration of the Off-Take agreement before deciding whether or not to grant a waiver. It is possible that the waiver may not cover the entire lifespan of the agreement (especially life of mine Off-Takes) and that at some stage further disclosure and independent shareholders' approval will be required.<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:heading {\"level\":3} -->\r\n<h3>Enforceability of \"take-or-pay\" clauses<\/h3>\r\n<!-- \/wp:heading -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>Off-Takes often include \"take-or-pay\" clauses. Generally a take-or-pay clause will stipulate that in the event a buyer is unable to take a pre-agreed minimum quantity of product, the buyer is still required to pay for the pre-agreed minimum quantity. The laws of certain jurisdictions do not permit the enforcement of contractual provisions which impose penalties on a party in default. In this regard an important distinction must be made as to whether or not a particular clause constitutes a liquidated damages clause (generally permitted) or a penalty clause (not permitted in certain jurisdictions). Factor which may be relevant in determining whether or not a take-or-pay clause constitutes a penalty include the following:<\/p>\r\n<!-- \/wp:paragraph -->\r\n\r\n<!-- wp:list -->\r\n<ul><li>Whether the take-or-pay clause is commercially justifiable;<\/li><li>Whether the primary purpose of the take-or-pay clause is to deter breach of contract;<\/li><li>Whether the parties enjoy equal bargaining power<\/li><\/ul>\r\n<!-- \/wp:list -->\r\n\r\n<!-- wp:paragraph -->\r\n<p>In certain cases a take-or-pay provision may be found to be a penalty clause and may be unenforceable. Careful consideration should always be given when drafting of take-or-pay provisions.
