对资产分拆提供意見

易周律师行对寻求在香港联合交易所有限公司(「联交所」)单独上市的矿业公司或其所在集团内部的其他部分或全部的资产及业务(「分拆」)提供意见。我们就分拆的公司及其母公司遵循《香港联交所上市规则》(「上市规则」)提供意见,特别是联交所关于分拆的额外条款。

矿业资产分拆可能引起很多独特的问题。分拆的公司的董事和高级管理人员须满足联交所关于子矿业公司将从事的勘探和/或开采行业中拥有至少5年经验的要求。母公司的董事会成员及高级管理人员可能须加入分拆的公司。这并不简单,特别是如果母公司于许多不同种类的矿业资产有利益且流失的人员对母公司控制的资产亦具有勘探及/或开采经验,而且,联交所要求分析的公司至少三个财政年度管理层维持不变。如果分拆的公司为新成立,其董事会及高级管理人员须监督及/或负责分拆的矿业资产的公司。

由于分拆的公司须使用由母公司所有或控制的基础设施及/或可能想依赖其母公司的一些行政或技术服务,矿业资产分拆可能进一步复杂化。根据《上市规则》该等安排可能构成关连交易。通常,持续关连交易受限于《上市规则》规定的三年期限,这将使矿业公司寻求长期使用基础设施有困难。

联交所强调其保留接受或拒绝由发行人提交的申请,以影响其所在集团全部或部分资产或业务独立上市申请绝对酌情权。联交所在任何其认为合适的时间,可施加额外规定或使分拆申请受特殊条件限制。
