摊薄、撤资/退出、转让
摊薄
合营企业各方应事先同意可允许合营方股份摊薄的情况。应适当考虑摊薄对已批准的项目的影响,尤其对合营方各自持续出资将产生的影响。其余未被摊薄的合营方的权益及出资应按比例重新计算,以反映其在合营企业中各自股份的变动。应事先商定重新计算的公式,并应作为附件载于合营企业协议中。发出股份稀释通知的条款亦应载于该协议中。
撤资/退出
合营企业协议应载有合营方如何及何时可转让其权益的条款,以及列明余下的合营方是否有优先权购买退出方权益。
合营企业各方应预先设定允许的最低合营企业权益。若合营企业一方股份被摊薄至低于该权益,则该方可被视为已从合营企业撤资。合营企业协议亦应载入说明违反合营企业义务的合营方撤资的条款。
应慎重考虑合营企业一方撤资的影响及撤资前应满足的先决条件,尤其是第三方批准(如需要)。
转让
合营企业协议应载有有关合营企业权益转让的条款。具体而言,该协议应考虑在何种情形下允许转让、将须何种同意(包括第三方同意)、是否允许部分转让、优先权及受让人权利及义务。
