采矿服务协议
清晰的、完好起草的采矿服务协议应不仅旨在制定委托人与承包商之间的关系,亦应有助于确保出资的有效性及使各方的收益最大化。
采矿服务协议应载有对委托人的场地及设施的完整的及准确的描述,包括矿区及地质(协议附件应载有地图)及对采矿服务的描述。协议下的采矿服务可包括以下:
- 采矿运营
- 矿物处理
- 拖拽及装载
- 一般服务义务
- 安全管理
- 环境管理
- 尾矿管理
- 修复管理
- 矿山水管理
采矿服务协议亦应列载承包商就其能力、表现以及安全规定、承包商厂房及设备安全、环境义务、现场通道、次承包商、考古、遗产及原住民地权协议有关的首要义务、保证及承诺。
该协议应载有支付条款,以包括委托人的付款义务、付款详情、利息、抵消、付款调整及税收。
该协议应考虑委托人及承包商各自须获得的授权,并载有遵守法律及委托人指示的条款。
若预计承包商将提供厂房及设备,该协议应要求备存一份厂房及设备记录册。协议亦应解决协议终止后,承包商的厂房及设备的拆除及状况的问题。
应适当考虑承包商厂房及设备或委托人设施的损失或损害风险以及双方投保的级别。
该协议亦应载有处理采矿服务暂停及终止的条款,包括终止的后果、于终止时的权利保留以及终止时承包商和委托人的既往义务。委托人亦可考虑协议中载有与表现挂钩的激励措施。
