在中国收购

在中国收购交易的一般类型包括
直接股权收购
外国投资者可以选择从目标公司投资者手中,购买该目标公司的全部或部分非上市股权(”直接收购”),或认购该目标公司的新增股本。在中国进行的直接收购须在中国境内进行,且须获得中国法规的批准。
离岸/非直接收购
离岸/非直接收购,指外国投资者通过离岸购买中国目标公司之外国母公司的部分或全部股份,对该目标公司进行收购或增加控制。该选择仅在该中国目标公司有外国投资者的情况下适用。离岸交易应在离岸公司成立地的司法管辖区进行,且通常不受中国的司法管辖及审查,除非在某些情况下,该交易或须受中国新设立的反垄断审查制度约束。
资产收购
就资产收购而言,外国投资者把外商投资企业作为收购工具,从中国目标公司购买其部分或全部业务或资产。该等交易应符合中国法律要求并获得批准。
