EPCM协议
EPCM协议最近在采矿行业相当普遍。根据EPCM协议,委托人(通常为矿业公司)雇用EPCM承包商,而承包商反过来须监督项目的施工及整体管理,并确保不同的分包商按照项目的设计标准及规定的标准开展工作。根据典型的EPCM协议,EPCM承包商负责以下工作:
- 设计及设计研发
- 采购
- 管理及施工合同监管
EPCM承包商实际上履行代表委托人而雇用分承包商的代理角色。尽管其履行寻找分承包商的角色,但EPCM承包商不是委托人与单个分承包商签署的合同的合约一方。作为代理的角色,EPCM承包商通常不对项目延迟或成本超额或分承包商的疏忽承担责任。但是,委托人可考虑为ECPM承包商提供激励措施,以确保EPCM承包商有效管理分承包商。正常情况下,ECPM承包商将仅对合同违约或其设计工作、预算估计、分包的采购及管理及分承包商之间设计和施工的协调有关的疏忽所产生的损失负责。
