交互押记契据/交互契诺契据
合营企业各方可考虑签署交互押记契据或交互契诺契据,以互相担保履行各自在合营企业协议下的义务。
根据交互押记契据,每个合营企业方就其特定押记财产中的权益,向合营企业的其他各方作出押记。
押记财产的定义可包括合营企业权益、合营企业生产的矿物质、销售合营企业生产的矿物质的所有合同的所有权利及权益以及销售该等矿物质的任何收益、根据合营企业协议从保险中获取的所有现时的及将来的收益,以及经理为及代表合营企业所持有的款项、以及向合营企业支付或转让款额或其他财产的所有申索及权益。
各方亦应考虑及列载其欲随附于该押记的具体条件。各方亦应添加就该押记进行登记及备案的条款。在若干司法管辖区,对采矿资产的押记进行登记是强制性的。
除非另有同意,应声明该押记优先于所有其他产权负担。
该契据应载有合营企业各方如何处置押记财产(包括出售该财产)以及有关随后的产权负担、持续担保、冻结及解除冻结以及执行该押记的条款。
交互契诺契据与交互押记契据并行采用,交互契诺契据是用于决定执行合营企业财产担保的优先次序。该等约定可由各方(合营企业各方)或以非合营方(例如贷款人或金融机构)为受益人而签署。
