提交申请的可能成本
在主板或创业板上市的成本将因如发行人的规模、将筹集的资金量、上市的性质(即主要、第二或借壳上市),以及发行人注册成立所在的司法管辖区等因素而有所区别。
上市涉及间接和直接成本。
间接成本包括:
- 上市过程中花费的管理和工作人员时间
- 做出的任何必要调整;及
- 上市时出售股份的折扣
直接成本可能包括:
- 包销佣金(通常是总上市成本的最大组成部分)
- 专业服务费(例如保荐人、法律顾问、会计师、物业估值师、翻译员等费用),这些都依遵守规定及妥善传达发行人价值所需要的工作量而定;
- 股票;
- 登记及收款银行费用;
- 宣传费用(路演、公告、公共关系材料和印刷等);
- 联交所收取的费用(首次上市费及交易费)(见下文)。
上市费
首次上市费
在提交股票上市申请时缴纳的首次上市费(通常提交上市申请表格时)范围从150,000港元(上市股票的价值低于100,000,000港元)至650,000港元(上市股票的价值超过5,000,000,000港元)。
从创业板转至主板上市,新申请人须支付应付首次上市费的50%。第二上市的新申请人须支付首次上市费的75%。
年度上市费
由发行人支付的年度上市费(提前一次性支付)须参考在联交所上市或将要上市的股票面值。年度费用的范围从145,000港元(股票面值少于200,000,000港元)至1,188,000港元(股票面值超过5,000,000,000港元)。
其他费用
除以上费用外,就上市或后续事项可能须支付后续的发行费用、新发行股票的交易征费、经纪费和其他交易费和征费。
