须予公布的、关连及其他交易
除非已获得豁免,上市发行人被期望刊发有关任何其正在进行的关连交易或须予公布的交易的公告。《上市规则》规定如上市公司给予任何非为其分拆的公司的实体的有关贷款超过所界定的资产比率(或代其作出的担保)则产生一般披露责任。有关披露须包括结欠的详情、产生有关款项的事件或交易之性质、债务人集团的身份、利率、偿还条款以及抵押品等。
- 根据《上市规则》,如上市公司(或其任何附属公司)所订立的贷款协议包括一项条件,对任何控股股东施加特定履行的责任(如要求在发行人股本中所占的持股量须维持在某特定最低水准),而违反该责任将导致违反贷款协议,且所涉及的贷款又对发行人的业务运作影响重大,则引发发行人的一般披露责任。该种情况下须予披露的资料是:可能受该违约影响的融资安排的总额;
- 该融资安排的有效期;及
- 对任何控股股东所施加的须特定履行的责任。
如发行人违反贷款协议的条款,而所涉及的贷款对其业务运作影响重大,违约可能会使贷款人要求其即时偿还贷款,而且贷款人并未就有关违约事宜作出豁免,则发行人须履行一般披露责任。
