由香港上市公司收购或出售
根据香港联交所上市规则(“上市规则”),一家香港上市公司可能被要求公开披露,并在某些情况下获股东批准进行某些超过财务门槛的收购或出售(“须予公布的交易”)。在收购矿产或石油资产出售的情况下,上市的矿产公司可能还需要有遵照额外要求,找到合格的专业人士(“合资格人士报告”)就该等资产制作报告。另外,就被收购矿产或石油资产,上市的矿产公司可能需要披露以下信息:
- 因环境、社会、健康及安全问题产生的项目风险;
- 任何非政府组织对矿产及/或勘探项目可持续性的影响;
- 须遵守东道国的法律、法规及许可,及向东道国政府支付税收、版税及其他方面的重要支付,依国而异;
- 充足的资金计划,以可持续的方式整治,恢复,关闭和拆除设施;
- 项目或不动产的环境责任;
- 处理东道国法律及实务的经验,包括不同国家及地区实务管理经验;
- 处理有关当地政府及社区的采矿现场、勘探性能、及相关管理安排的经验;及
- 就正在开展土地勘探或开采活动,可能存在的任何索赔要求,包括任何家族或当地人索赔。
根据上市规则,收购或出售将 – 取决于交易规模 – 股份交易构成,须予披露交易,主要交易,非常重大交易或一项反向收购交易。这些交易须遵守不同的披露,公告及股东批准规定。
