香港公开市场招股

从一家上市矿产公司收购采矿资产的另一种选择是收购该公司。

《公司收购及合并守则》

《公司收购及合并守则》(简称《收购守则》)适用于影响香港的公众公司及股本证券在香港作第一上市的公司的收购及合并。在确定一间公司是否香港的“公众公司”时,证券及期货事务监察委员会(SFC)会进行经济或商业上的测试,主要考虑到香港股东的人数和股份在香港的买卖程度。

《收购守则》载列10项一般原则,就于香港进行的收购与合并规定了可以接受的商业操守标准,主要包括如下:

  • 所有股东均须获得公平的对待;
  • 如果公司的控制权有所变动,通常须向其他股东发出全面要约;
  • 在进行要约的过程中或当要约正在计划中,向部分股东所提供的资料必须提供给全体股东(向潜在要约人提供保密资料或由潜在要约人提供的保密资料除外);
  • 要约应当经过审慎及负责任的态度考虑后才能作出;
  • 股东应当获得充足的资料、意见及时间,以便对要约作出有根据的决定;
  • 所有与要约事宜相关人士应当及时披露一切有关资料,并采取措施避免制造;或
  • 维持虚假的市场,及避免作出误导股东或市场的声明;
  • 行使控制权时应当出于真诚善意,迫压小股东是不能接受的;
  • 股东应当顾及股东的整体利益;
  • 受要约公司的董事局不得采取任何行动而导致任何真正的要约受到阻挠或导致股东无法根据要约的利弊作出决定;及
  • 与收购和合并有关的所有当事人必须与证券及期货事务监察委员会、收购及合并委员会及收购上诉委员会通力合作。
